Business Addendum

This Business Addendum applies to customers using Business Services on TaxCalc.ng (including Business Workspaces and Payroll). It forms part of the Terms of Service.
1. Definitions
Business Workspace: A shared workspace used by a company/team to manage Business features (including payroll runs, exports, members, and billing).
Workspace Owner: The person/entity designated as owner in the Service and responsible for workspace administration and billing decisions.
Member: Any invited or added user within a Business Workspace.
Seats/Entitlements: The limits and allowances included in your Business plan and add-ons (for example: seat counts, exports, compliance packs, employee packs).
Customer Data: Data submitted to the Service within a Business Workspace (including payroll inputs, results, notes, and saved artifacts).
2. Workspace Ownership & Administration
The Workspace Owner controls the workspace, including:
- Workspace profile and settings
- Inviting/removing members
- Assigning roles
- Managing plan and billing decisions for the workspace
You are responsible for ensuring only authorized people are invited and granted access.
3. Roles, Seats & Enforcement
Business Workspaces use role-based access. Seat limits depend on your plan and add-ons.
We may enforce seat limits by blocking invitations, role changes, or feature access when entitlements are exceeded.
You agree not to bypass or attempt to bypass seat limits or restrictions.
4. Payroll/Employee Data Responsibilities
If you upload or enter employee data into a Business Workspace:
- You represent and warrant that you have the legal right and lawful basis to process and share that data for payroll purposes.
- You are responsible for the accuracy of payroll inputs and for reviewing outputs before use or remittance.
- TaxCalc processes the data to provide the Service (calculations, review, saved results, exports), as described in the Privacy Policy.
5. Exports, Artifacts & Review
Business Services may generate exports such as PDFs, CSVs, or ZIP files ("Artifacts").
Artifacts are generated from your inputs and configured calculation logic and are provided for record-keeping and internal use.
You are responsible for reviewing artifacts for correctness before relying on them for remittance, reporting, or official submission.
6. Compliance Tools
Business Services may include tools to record remittance/compliance information (for example: reference, paid date, channel, notes) and optional compliance export packs.
These tools support organization and documentation. They do not constitute filings or official submissions.
7. Plan Changes, Add-ons & Guardrails
Your Business plan may include add-ons (for example: extra employee packs, extra seats, compliance packs).
- Upgrades may take effect immediately (and may require checkout).
- Downgrades may be scheduled for the next billing cycle.
We may block plan changes that would put you below current usage (for example: seats already in use, add-ons required by current workspace activity).
8. Renewals, Failed Payments & Expiry Policy
Business plans may auto-renew where applicable.
If a renewal payment fails, we may retry and send reminders.
No grace period (Business): unless explicitly stated otherwise at checkout, when a Business entitlement ends, workspace paid features may move from active to inactive immediately until renewed.
9. Workspace Archiving & Deletion
Business Workspaces may support archiving and deletion:
- Archiving may restrict visibility/usage and is intended for organizational control.
- Permanent deletion is irreversible and may require additional verification (for example: OTP).
Deletion and retention behaviors are governed by the Privacy Policy and legal obligations.
10. Acceptable Use (Business)
You must not:
- Upload data you do not have rights to process
- Use the Service to violate privacy, employment, or tax laws
- Attempt to bypass role/seat restrictions or security controls
- Abuse exports, automation, or background processing features
11. Support & Service Limits
We aim to provide responsive support, but we do not guarantee specific response times unless agreed in writing.
We may apply reasonable service limits (for example: rate limits, fair usage controls, and background job limits) to protect reliability and prevent abuse.
12. Conflicts
If this Business Addendum conflicts with the main Terms of Service, this Addendum controls for Business Services.
